Qualification -
Qualified Company Secretary (Associate/Fellow Member of the Institute of Company Secretaries of India – ICSI) Bachelor’s degree in Commerce, Law, Finance, or Business Administration LLB, CA, or MBA will be an added advantage

Roles and Responsibilities

•Ensure compliance with the Companies Act, 2013 and all applicable   corporate laws.
•Advise the Board and senior management on corporate   governance and regulatory matters.
•Plan, organize, and coordinate Board, Committee, and Shareholders’   Meetings.
•Prepare agendas, board papers, notices, minutes, and resolutions.
•Maintain statutory registers, minute books, and corporate records.
•Ensure timely filing of statutory forms, annual returns, and other   regulatory filings with the ROC and other authorities.
•Monitor changes in corporate laws and advise management on   compliance implications.
•Support equity fundraising, venture capital investments, and   strategic partnerships.
•Coordinate due diligence exercises with investors, legal advisors,   and auditors.
•Maintain capitalization records, ESOP documentation, and   shareholder records.
•Assist in drafting shareholder agreements, board resolutions, and   corporate approvals.
•Coordinate with external legal counsel on corporate matters.
•Develop compliance calendars and monitor statutory deadlines.
•Conduct periodic compliance reviews and support internal audits.
•Liaise with regulatory authorities, auditors, investors, consultants,   and legal advisors.
•Coordinate with finance, HR, and leadership teams on governance   and compliance matters.
•Ensure confidentiality of sensitive corporate information and   maintain high standards of corporate governance.

Skills Required:

•Strong knowledge of the Companies Act, 2013, FEMA, corporate   governance, and Secretarial Standards.
•Excellent drafting, documentation, and communication skills.
•Strong organizational and stakeholder management abilities.
•High attention to detail with the ability to manage multiple priorities.
•Ability to work independently in a fast-paced, high-growth   environment.
•Integrity, professionalism, and sound judgment.
•Experience in startups, venture-funded companies, deep-tech,   manufacturing, renewable energy, or technology sectors is preferred.
•Experience in fundraising, ESOP administration, and corporate   restructuring will be an advantage.
